An adequate Corporate Governance must have clearly differentiated the spheres of action and authority of each executive member of the organizational structure, from the Board of Directors to the responsible managers or owners of the processes.
For that design to be properly captured. It is suggested to design and implement a management by processes in the organization that allows to clearly identify the owners of the processes, and in the same way to be able to determine which are strategic, support and business processes, and represent them in a Process Map, which goes down at lower levels of procedures, controls and reports.
